Terms of Service

1. Parties and Agreement

These Terms of Service represent a binding legal agreement between the user and Jake Baden North trading as Donkeh Labs (ABN 87 636 703 254). Accessing or using LabelChop constitutes acceptance of these Terms.

2. Service Description

LabelChop is a desktop application and web service that automates the detection, cropping, and printing of shipping labels from PDF files. The application monitors designated folders for new PDF files, processes them to extract label content, and sends them to a configured printer.

Donkeh Labs does not guarantee that labels will print correctly on all printer models or that all PDF formats will be processed without error. Users retain sole responsibility for verifying printed output before use.

3. Account and Browser Access

The browser converter does not require a LabelChop account. It uses an essential browser cookie to associate free or purchased page credits with that browser. Customers can recover purchased credits through a verification link sent to their payment email.

The LabelChop desktop application requires an account. Desktop users are responsible for credential confidentiality, account activity, and promptly reporting unauthorized access.

4. Acceptable Use

Users cannot employ the Service for unlawful purposes, attempt unauthorized access, interfere with operations, reverse engineer components, share credentials, or use it to compete with or replicate the offering.

5. Browser Passes, Subscriptions and Payment

The optional browser pass is a US$5 one-time purchase that adds 25 browser page credits. It is not a subscription. Purchased page credits do not expire, but access depends on retaining the browser cookie or completing email recovery. One credit is used for each PDF page successfully converted.

Stripe processes payments securely; Donkeh Labs does not store complete card details. Unused browser-pass purchases may be refunded on request within 14 days. Once any purchased credits have been used, change-of-mind refunds are not guaranteed. Nothing in these terms limits rights under Australian Consumer Law.

Desktop subscription pricing requires fee payment, accurate billing information, and authorization for recurring charges. Cancellation is available anytime with access continuing through the current billing period. Refunds for partial periods are excluded except as required by Australian Consumer Law.

New desktop users receive a 14-day free trial. No payment is required during the trial period. If a subscription or lifetime license is not purchased before the trial expires, desktop access will be restricted.

A paid lifetime license is a one-time purchase granting a perpetual license to use the purchased major version of the LabelChop desktop application, subject to these Terms. “Lifetime” describes the duration of that software license; it does not promise that hosted services, downloads, updates, support, or third-party integrations will remain available forever. Refunds, payment reversals, termination for breach, and rights under Australian Consumer Law may affect the license as described in these Terms.

6. Desktop Application and Licensing

The LabelChop desktop application may be used under a valid trial, active subscription, or paid lifetime license. Each license is tied to a single machine. The application requires an internet connection for license verification and periodic re-validation.

Users may not distribute, sublicense, or share installer files or license tokens with unauthorized parties.

7. Data and Privacy

The Privacy Policy governs information handling. The browser converter temporarily uploads a PDF to our conversion endpoint for in-memory processing and response delivery; LabelChop does not retain the PDF after the response. The desktop application processes shipping-label PDFs locally.

Browser page-pass records may include email, balances, purchase state, and one-way credential hashes. Customers must not share recovery links or browser credentials with unauthorized parties.

8. Intellectual Property

Donkeh Labs owns the Service's design, features, code, and documentation under intellectual property protection. Users receive a limited, non-exclusive, non-transferable license for use during a valid trial or active subscription, or under a valid paid lifetime license for the purchased major version.

9. Limitation of Liability

Australian Consumer Law Notice: Statutory guarantees apply. Major service failures entitle users to replacement, refund, or re-supply at no cost.

Liability limitations apply to the maximum extent permitted by law:

• Maximum Liability: Total company liability equals amounts paid in the preceding 12 months.
• Consequential Damages Exclusion: Indirect, special, incidental, or consequential losses are excluded.
• Printing Disclaimer: Users acknowledge that LabelChop is a label processing and printing tool. Donkeh Labs bears no responsibility for mislabelled shipments, misprinted labels, or any losses arising from reliance on printed output.

The Service is provided "as is" and "as available" without guarantees of uninterrupted or error-free operation.

10. Indemnification

Users agree to indemnify and hold Donkeh Labs harmless from claims, damages, losses, or expenses arising from Service use, Terms breaches, or third-party rights violations.

11. Termination

By Users: Users may cancel a subscription at any time, with subscription access continuing through the current billing period. Cancelling a subscription does not terminate a separately purchased lifetime license.

By Company: Access suspension or termination occurs following Terms breaches, payment failures, or security risk determinations.

Termination for a material Terms breach ends the affected Service and license rights. A payment refund, reversal, or chargeback may end the corresponding paid license. These provisions do not limit remedies or guarantees available under Australian Consumer Law, and voluntary subscription cancellation alone does not end valid lifetime-license rights.

12. Modifications

Terms updates occur periodically. Material changes receive notification via email or Service interface. Continued use after changes constitutes acceptance.

13. Governing Law

South Australia law governs these Terms. South Australian court jurisdiction applies exclusively to disputes.
