Terms of Service

1. Parties and Agreement
These Terms of Service represent a binding legal agreement between the user and Jake Baden North trading as Donkeh Labs (ABN 87 636 703 254). Accessing or using LabelChop constitutes acceptance of these Terms.
2. Service Description
LabelChop is a desktop application and web service that automates the detection, cropping, and printing of shipping labels from PDF files. The application monitors designated folders for new PDF files, processes them to extract label content, and sends them to a configured printer.
Donkeh Labs does not guarantee that labels will print correctly on all printer models or that all PDF formats will be processed without error. Users retain sole responsibility for verifying printed output before use.
3. Account and Access
Users must create accounts to access the service. Responsibilities include credential confidentiality, account activity accountability, and immediate notification of unauthorized access.
4. Acceptable Use
Users cannot employ the Service for unlawful purposes, attempt unauthorized access, interfere with operations, reverse engineer components, share credentials, or use it to compete with or replicate the offering.
5. Subscription and Payment
Subscription-based pricing requires fee payment, accurate billing information, and authorization for recurring charges. Stripe processes payments securely without storing card details. Cancellation is available anytime with access continuing through the current billing period. Refunds for partial periods are excluded except as mandated by Australian Consumer Law.
New users receive a 14-day free trial. No payment is required during the trial period. If a subscription is not purchased before the trial expires, access to the desktop application will be restricted.
6. Desktop Application and Licensing
The LabelChop desktop application requires an active subscription or valid trial to operate. Each license is tied to a single machine. The application requires an internet connection for license verification and periodic re-validation.
Users may not distribute, sublicense, or share installer files or license tokens with unauthorized parties.
7. Data and Privacy
The Privacy Policy governs information handling. LabelChop processes PDF files locally on the user's machine. File contents are not uploaded to or stored on Donkeh Labs servers. Only account, licensing, and usage metadata is transmitted.
8. Intellectual Property
Donkeh Labs owns the Service's design, features, code, and documentation under intellectual property protection. Users receive limited, non-exclusive, non-transferable licenses for use during active subscriptions.
9. Limitation of Liability
Australian Consumer Law Notice: Statutory guarantees apply. Major service failures entitle users to replacement, refund, or re-supply at no cost.
Liability limitations apply to the maximum extent permitted by law:
- Maximum Liability: Total company liability equals amounts paid in the preceding 12 months.
- Consequential Damages Exclusion: Indirect, special, incidental, or consequential losses are excluded.
- Printing Disclaimer: Users acknowledge that LabelChop is a label processing and printing tool. Donkeh Labs bears no responsibility for mislabelled shipments, misprinted labels, or any losses arising from reliance on printed output.
The Service is provided "as is" and "as available" without guarantees of uninterrupted or error-free operation.
10. Indemnification
Users agree to indemnify and hold Donkeh Labs harmless from claims, damages, losses, or expenses arising from Service use, Terms breaches, or third-party rights violations.
11. Termination
By Users: Accounts terminate through subscription cancellation.
By Company: Access suspension or termination occurs following Terms breaches, payment failures, or security risk determinations.
Termination immediately ends Service rights and desktop application access.
12. Modifications
Terms updates occur periodically. Material changes receive notification via email or Service interface. Continued use after changes constitutes acceptance.
13. Governing Law
South Australia law governs these Terms. South Australian court jurisdiction applies exclusively to disputes.
